Terms of Use

These Terms of Use govern access to the SS Marks website and the professional services that may be provided following an accepted engagement. By using this website you agree to these terms. A formal professional-client relationship arises only upon our acceptance of an engagement and confirmation of its terms.

Effective date: 21 September 2026.

1. Use of the website

The website is provided for general information about our services. You agree to use it only for lawful purposes, not to attempt unauthorised access, and not to submit false or misleading information. We may update, suspend or withdraw website content without notice.

2. Payment obligations

Professional fees, disbursements and government or statutory charges are as confirmed in the engagement or invoice. Fees are payable in accordance with the stated payment terms. Government fees, registry charges, stamp duty, portal fees and similar third-party charges are payable in addition to our professional fee unless expressly stated otherwise. Work may be paused if invoices remain unpaid. Government and statutory fees already paid are not refundable by SS Marks.

3. Third-party portals

Many services require filings or correspondence on government, registry or other third-party portals. Those systems are operated by the relevant authority, not by SS Marks. Availability, validation rules, processing queues and downtime are outside our control. You authorise us to use information and documents you provide to complete such filings on your instructions.

4. Government processing delays

Approval, registration, certification, licence grant, dispute outcome and processing time rest with the relevant authority or forum. We assist clients in meeting applicable compliance requirements, subject to timely receipt of complete and accurate documents and processing by the relevant authority. We do not guarantee any government timeline, grant of a certificate, or particular outcome.

5. Client responsibility for documents

You are responsible for the completeness, accuracy and authenticity of information and documents supplied to us, and for obtaining any consents required for their use. Delays, defects or rejection arising from incomplete, inaccurate or late materials are your responsibility. You must promptly supply clarifications, signatures, digital signatures, board or shareholder approvals and original documents when requested.

6. Suspension of services

We may suspend or decline to continue services where invoices are unpaid, documents remain outstanding, instructions are unlawful or unethical, a conflict of interest arises, or continuation would breach applicable law or professional rules. We will notify you of a suspension where reasonably practicable.

7. Confidentiality

We will treat non-public client information as confidential and use it only for the engagement, except where disclosure is required by law, a regulator, a professional duty, or is made to service providers or independently engaged professionals bound by confidentiality, or where you have authorised disclosure. This website and public filings are not confidential communications.

8. Indemnity

You agree to indemnify SS Marks, its principals and personnel against claims, losses, penalties and costs arising from inaccurate or incomplete information you supply, your breach of these terms or an engagement, or your failure to meet statutory obligations that remain yours as the applicant, company or taxpayer — except to the extent caused by our proven wilful misconduct.

9. Intellectual property

Website content, branding and materials we create remain our intellectual property unless assigned in writing. You may not copy or republish site content for commercial use without consent. Documents prepared for you under an engagement may be used for the agreed purpose.

10. Limitation of liability

To the fullest extent permitted by law, SS Marks is not liable for indirect, incidental or consequential loss, or for loss arising from government delay, portal failure, third-party acts, or information you fail to provide. Our aggregate liability in connection with any engagement is limited to the professional fees paid for the specific service giving rise to the claim, except where liability cannot be limited by law.

11. Dispute resolution

The parties shall first attempt in good faith to resolve any dispute arising out of these terms or an engagement through written discussion. If unresolved within 30 days of notice, the dispute may be referred to mediation, and thereafter to the courts, unless a separate engagement provides a different dispute-resolution mechanism.

12. Jurisdiction

These terms are governed by the laws of India. Subject to any non-excludable statutory forum, courts at Chennai, Tamil Nadu shall have exclusive jurisdiction.

13. Severability

If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Amendments

We may revise these terms by publishing an updated version on this page. The revised terms apply from the stated effective date. Continued use of the website after that date constitutes acceptance. Engagement-specific terms prevail over these website terms where they conflict.
