Closing an LLP?

LLP closed cleanly without lingering risk.

An LLP that has not commenced business or has been inactive can apply for strike off via Form 24 under the LLP (Amendment) Rules 2017. The process requires all pending MCA filings to be up to date, all bank accounts closed, no pending liabilities, and a statement of accounts made up to a recent date. SS Marks handles the complete Form 24 application and all associated clearances.

Frequently asked questions

What is Form 24 for an LLP?

Form 24 is the application for strike off of an LLP under Rule 37(1) of the LLP Rules. It is the simplified closure route for LLPs that have no assets, no liabilities and no active operations.

Does the LLP need to be current on all filings before applying for strike off?

Yes. All pending Form 8 and Form 11 filings must be submitted before MCA will accept a Form 24 application.

Can an LLP with outstanding dues apply for strike off?

No. The LLP must have no outstanding statutory dues, no pending litigation and no unsatisfied creditors before applying for strike off.

What is the alternative if the LLP has assets or creditors?

If the LLP has assets to distribute or creditors to satisfy, formal winding up under the LLP Act or insolvency proceedings under the Insolvency and Bankruptcy Code (IBC) would be required. SS Marks advises on the appropriate route.

How long does LLP strike off take?

After Form 24 is filed, MCA issues a 30-day public notice. If no objections are received, the strike off order is typically issued within 3–6 months of the initial filing.
