Frequently asked questions

What is Form DIR-12?

DIR-12 is the MCA form used to intimate the appointment, resignation or cessation of a director. It must be filed within 30 days of the relevant event.

Is a DIN mandatory for a new director?

Yes. Every director of an Indian company must hold a valid Director Identification Number (DIN). If the proposed director does not already have a DIN, we apply for one as part of the DIR-12 process.

Does shareholder approval always need to be obtained?

For an additional director appointed by the board between two AGMs, board resolution suffices — subject to ratification at the next AGM. For a director whose appointment requires shareholder approval under the Articles, a general meeting or postal ballot resolution is also required.

Can a foreign national be appointed as a director?

Yes, subject to FDI and sector policy. The foreign director must have a DIN and a valid DSC. SS Marks handles the documentation including notarised/apostilled identity proofs where required.
